ZELLIS Multisync User Agreement
ZELLIS Multisync is our proprietary integration and automation solution that synchronises and controls data flows and actions between connected systems including ecommerce platforms, ERP, DMS, CRM, suppliers and more. The specific systems connected for you and the associated synchronisations, automations, processes and functions are unique to your business and requirements as specified when it was setup for your business.
By using ZELLIS Multisync, you acknowledge and accept this User Agreement and agree to be bound by it.
To use ZELLIS Multisync, you must first be registered as a user, and have an account created by us. Self-creation of user accounts is not possible due to the nature of the configuration which has to be customised for each user.
INTELLECTUAL PROPERTY
ZELLIS Multisync is a registered trademark of Emotiogence Pty Ltd trading as ZELLIS (hereafter ‘ZELLIS’). Our web-based application (hereafter ‘the Service’) is the intellectual property of ZELLIS and all rights pertaining thereto are reserved.
Reverse engineering, duplication, sharing, mimicking or interference with our platform or associated coding and functions, or any attempt to do so, will constitute a breach of this User Agreement, the perpetrator/s suspended permanently without warning, and may lead to legal proceedings by ZELLIS.
USE OF THE SERVICE
ZELLIS Multisync is a Software-as-a-service cloud-based solution that for the most part functions in the background without needing to be accessed. Where a user-accessible dashboard forms part of your Multisync deployment, it is intended to be accessed over the internet via a web browser. The Service is provided to registered users only. Users are not permitted to grant other parties access to Multisync through their login for any purpose, and offenders may be terminated without warning and may be subject to legal proceedings for breach of this agreement.
The functions and dashboards of ZELLIS Multisync are provided as is to registered users for the purpose of synchronising and syndicating stock, orders, returns and consignment tracking, and any other functions specified during the initial configuration or subsequently enabled. The Service is intended to be running continuously, however due to the nature of the internet and despite our best intentions and efforts, it is not possible to guarantee that there will not be outages and interruptions from time to time.
You acknowledge and accept that ZELLIS and its associated entities will not be liable for any outages or interruptions to the Service and users will not be entitled to compensation for any such outages or interruptions except as required by law.
PLATFORM UPDATES & CHANGES
The platforms and systems integrated by your Multisync Service are not under our control and therefore we cannot accept any responsibility for changes to them. You agree to indemnify and hold ZELLIS blameless for any disruption or degradation of the Service caused by anomalies, outages or changes to the systems integrated by your Service, no matter how they are caused and whether you or we are aware of them before, during or after they occur.
Modifications, updates and changes to your Multisync Service requested by you, or required as a result of integrated platforms changing their functionality, methodologies or access, will be scoped and quoted, and only implemented upon your approval thereof. Multisync automations and processes broken or impacted by integrated third-party platform changes cannot be addressed until you have approved and paid for the required updates to your Multisync Service.
FEES & PAYMENT
ZELLIS Multisync is billed on a monthly recurring subscription with invoices issued at the start of each calendar month. Where you commence use of the Service partway through a calendar month, your first invoice will be only for the remainder of that calendar month.
A direct debit pre-authorisation with our payment partner Pinch Payments is required to commence use of the Service. You will be provided with a unique link to setup your preferred payment method, using either bank account or credit card, and may change it at any time. If you have lost your unique direct debit pre-authorisation link, please ask and we’ll email it to you you.
Each monthly invoice will be automatically debited to your nominated payment method approximately 5 days after the invoice is issued. Where any scheduled direct debit fails, it will be automatically re-presented for debit 1-2 days later. Where a direct debit fails twice, we may suspend your access to the Service and will contact you to get back on track, or to discuss alternative payment arrangements. Where the Service is suspended due to non-payment, regardless of any impact to your business, you agree to indemnify and hold blameless ZELLIS from any and all liability or further obligations.
All billing is in Australian Dollars and excludes Australian Goods & Services Tax (GST). GST will be added for Australian Users. Your monthly billing rate is subject to fair change at any time with at least 30 days written notice.
PRIVACY & COMMUNICATIONS
ZELLIS may from time to time communicate with you via email to notify you about new functions, improvements, Service events, known issues and other matters related to delivery of the Service. Your personal information will not be shared with or sold to third-parties except as required by law or to deliver the subscribed Service to you.
ERRORS & OMISSIONS
ZELLIS will use its best endeavours to rectify at its cost any material errors or omissions in the Service provided hereunder promptly whenever such an error or omission is found in the course of execution of the Service. An error or omission is material if we determine in our absolute discretion (acting reasonably) that it is not minor and prevents the Service from satisfying the user’s requirements, any Legislative Requirements and/or the standards of Good Industry Practice.
Notwithstanding the foregoing, ZELLIS shall not be liable to rectify any errors or omissions caused or partly caused directly or indirectly by or arising from:
- any misinformation provided by the user;
- any direction given by the user;
- any conduct of the user or any third party;
- any undue duress, pressure or influence exerted by the user upon ZELLIS or its officers, employees, agents or subcontractors; or
- any accident, act of God, fire, flood, war, act of violence, terrorism or similar occurrence beyond our reasonable control.
The user shall submit all claims for rectification to ZELLIS in writing promptly upon discovering them.
TERMINATION
Unless termination requirements have been stipulated in an agreement with ZELLIS, you may terminate use of ZELLIS Multisync any time by providing at least 30 days’ written notice via email to support@zellis.com.au. Terminating use of the Service will also disconnect access to our system. Once the Service has been deactivated, all functions and automations will cease. Any data held in our system relating to your Service will be removed automatically within 30 days of termination.
UPDATES & NOTICE
Notice will given by way of email to you when changes and updates are made to this User Agreement. Continued usage of ZELLIS Multisync is confirmation of your acknowledgement and acceptance of any changes to this User Agreement. If you do not agree to any of the terms & conditions in this User Agreement or future iterations of it, you must immediately cease using ZELLIS Multisync and notify us so we can remove your access.
